Terms of Service

1. Acceptance of Terms

By accessing or using the web platform operated by Namauu Technological & Industrial, LLC (“NTI,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not access or use the platform.

These Terms apply to all visitors, registered users, and any other persons who access or use the platform, including government personnel, contractors, and teaming partners.

2. Eligibility

You must be at least 18 years of age and capable of entering into a binding legal agreement. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete.

3. Account Terms

When you create an account, you must provide accurate and complete information. You are responsible for safeguarding the password and any activities or actions under your account. You agree to notify NTI immediately of any unauthorized access to or use of your account.

  • You may not share your account credentials with any other person.
  • You are responsible for all activity that occurs under your account.
  • NTI reserves the right to suspend or terminate accounts that violate these Terms.

4. Use License

Subject to your compliance with these Terms, NTI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your internal business purposes.

This license does not include the right to:

  • Modify or copy the platform's materials except as necessary for normal use.
  • Use the materials for any commercial purpose outside the scope of your authorized business relationship with NTI.
  • Attempt to decompile, reverse engineer, or disassemble any software contained on the platform.
  • Remove any copyright or other proprietary notations from the materials.
  • Transfer the materials to another person or mirror them on any other server.

5. Government Users

If you are a U.S. Federal, state, or local government employee or contractor accessing the platform in your official capacity, you acknowledge that:

  • Your use of the platform is subject to applicable government regulations and policies, including but not limited to the Federal Acquisition Regulation (FAR).
  • Any data you provide is subject to the same handling standards required under your applicable government contracts.
  • NTI maintains security controls consistent with NIST 800-171 and CMMC Level 2 requirements for handling Controlled Unclassified Information (CUI) where applicable.

6. Intellectual Property

The platform and its original content, features, and functionality are owned by NTI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Any content you submit or make available through the platform remains your property; however, by submitting content, you grant NTI a worldwide, non-exclusive, royalty-free license to use, process, and store such content as necessary to provide the platform services.

7. Data Handling & Security

NTI employs industry-leading security practices to protect your data. Our security measures include:

  • Encryption in transit: all data is transmitted over TLS 1.3 encrypted connections.
  • Encryption at rest: data is encrypted using AES-256 encryption at rest.
  • Secure authentication: we use one-time passcode verification, strong password requirements, and cryptographically signed session tokens.
  • Access controls: role-based access controls limit data access to authorized personnel only.

8. Prohibited Conduct

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable regulations.
  • Attempt to gain unauthorized access to any part of the platform, its servers, or any connected systems.
  • Interfere with or disrupt the integrity or performance of the platform.
  • Upload or transmit viruses, malware, or other harmful code.
  • Harvest, collect, or store personal data of other users without their consent.
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

9. Third-Party Services

The platform may integrate with or contain links to third-party services, including but not limited to authentication providers, email services, and data processing tools. NTI is not responsible for the content, privacy policies, or practices of any third-party services.

Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. NTI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NTI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NTI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM.

12. Indemnification

You agree to indemnify, defend, and hold harmless NTI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the platform or violation of these Terms.

13. Termination

NTI may terminate or suspend your access to the platform immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the platform will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal or state courts located in San Antonio, Texas.

15. Changes to Terms

NTI reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the platform after those revisions become effective, you agree to be bound by the revised terms.
